THIS AGREEMENT (this Agreement), dated as of August 10, 2021, between ULTIMUS MANAGERS TRUST (the Fund, executing this Agreement on behalf of and for the benefit of those separate series set forth on Schedule I, each a Portfolio and collectively the Portfolios), an open-end management investment company organized as an unincorporated business trust under the laws of the State of Ohio and registered with the Commission under the Investment Company Act of 1940 (the 1940 Act), and BROWN BROTHERS HARRIMAN & CO., a limited partnership formed under the laws of the State of New York (BBH&Co. or, when referring to BBH&Co. in its capacity as custodian, the Custodian, and when referring to BBH&Co. in its capacity as transfer agent, TA). This amount is exclusive of brokerage costs, taxes, interest, borrowing costs such as interest and dividend expenses on securities sold short, costs to organize the Fund, Acquired Fund fees and expenses, and extraordinary expenses such as litigation and merger or reorganization costs and other expenses not incurred in the ordinary course of such Fund’s business.
