THIS CONSULTING AGREEMENT (this “Agreement”) dated September 22, 2020 (the “Effective Date”), is entered into by and among VELA Investment Management, LLC, a Delaware limited liability company having its office and principal place of business at 220 Market Street, Suite 208, New Albany, Ohio 43054 (the “Adviser”), VELA Funds, a Delaware statutory trust having its office and principal place of business at 220 Market Street, Suite 208, New Albany, Ohio 43054 (the “Trust”), and NORTHERN LIGHTS COMPLIANCE SERVICES, LLC, a Nebraska limited liability company having its office and principal place of business at 4221 North 203rd Street, Suite 100, Elkhorn, Nebraska 68022 (“NLCS”).

This Amended and Restated Investment Advisory Agreement (the “Agreement”) is made and entered into as of this 12th day of January, 2022, by and between VELA Investment Management, LLC, a Delaware limited liability company (the “Adviser”), and VELA Funds, a Delaware statutory trust (the “Trust”), regarding each of the Fund(s) listed in Appendix A (the “Funds”).
