This Agreement, dated February 1, 2021, is between Capitol Series Trust (the “Trust”), an Ohio business trust, Reynders, McVeigh Capital Management, LLC (the “Advisor”), a limited liability company organized under the laws of the Commonwealth of Massachusetts, and Ultimus Fund Distributors, LLC (“Distributor”), a limited liability company organized under the laws of the State of Ohio.

THIS AGREEMENT is made and entered into as of March 6, 2023, and effective on May 31, 2023, by and between Capitol Series Trust (the “Trust”), on behalf of its series portfolios as set forth on Appendix A (each a “Fund”), and Reynders, McVeigh Capital Management, LLC (the “Adviser”), a Commonwealth of Massachusetts limited liability company.
