THIS UNDERWRITING AGREEMENT made this 14th day of February 2020 by and between NORTHERN LIGHTS FUND TRUST, a Delaware statutory trust, having its principal office and place of business at 80 Arkay Drive., Hauppauge, NY 11788 (the “Trust”), and LADENBURG THALMANN & CO. INC., a Delaware corporation having its principal office and place of business at 570 Lexington Avenue, 11th Floor, New York, NY 10022 (“LT & Co.”).
