This AP Representative Confidentiality Agreement (this "Agreement") is entered into by and among Cantor Fitzgerald & Co. ("AP Representative") and Northern Lights Fund Trust IV (the "Trust"), an open-end management investment company registered with the Securities and Exchange Commission (the "SEC") under the Investment Company Act of 1940, as amended (the "1940 Act"), on behalf of each of its separate series (each, a "Fund" and collectively, the "Funds") which are listed on Exhibit A hereto, as amended by the Trust, from time to time, to reflect newly- launched Funds. Capitalized terms used herein and not otherwise defined have the meaning assigned to them in Section 6 of this Agreement.

The Adviser will pay to the Sub-Adviser as compensation for the Sub-Adviser's services rendered, a fee, computed daily at an annual rate based on the greater of (1) the minimum fee or (2) the daily net assets of the respective Fund in accordance with the following fee schedule:
