This AGREEMENT AND DECLARATION OF TRUST was made on August 23, 2024and amended and restated on December 19, 2024 by and among, on the one hand, the individuals executing this Declaration as Trustees and those who may in the future be duly elected or appointed, qualified and serving as Trustees on the Board of Trustees and, on the other hand, the holders from time to time of the shares of beneficial interest issued hereunder.

THIS AGREEMENT is made and entered into as of the last date on the signature page, by and between 83 INVESTMENT GROUP INCOME FUND, a Delaware statutory trust, (the “Fund”), and U.S. BANK NATIONAL ASSOCIATION, a national banking association organized and existing under the laws of the United States of America with its principal place of business at Minneapolis, Minnesota (the “Custodian”).
