JV Member and KBS may hereinafter be referred to herein collectively, as the "Members" or individually as a "Member." IC MYRTLE BEACH MANAGER LLC (“IC Manager”) has been appointed by KBS as the initial “Manager” of the Company pursuant to Section 2.01(b) below.
