This SECURITIES PURCHASE AGREEMENT (the “Agreement”), dated as of June 18, 2013, is by and among Internet Media Services, Inc., a Delaware corporation with offices located at 1507 7th Street, #425,Santa Monica, California 90401, U-Vend, Inc a Ontario Canada corporation with offices located at 312 Grays Road, PO Box 56013 Fiesta RPO, Stoney Creek, Ontario L8G-5C9, ( collectively, the “Company”), and each of the investors listed on the Schedule of Buyers attached hereto (individually, a “Buyer” and collectively, the “Buyers”).
