This Settlement Agreement (the “Settlement Agreement” or the “Agreement”) is executed as of February 19, 2015, but effective as of January 1, 2015 (the “Effective Date”) and entered into by and between MIE Jurassic Energy Corporation (“MIEJ”), PEDEVCO Corp.
