This Amended and Restated Dealer Manager Agreement (the “Agreement”) amends, restates and replaces in full that certain Dealer Manager Agreement dated March 17, 2014 by and between Cole Credit Property Trust V, Inc., a Maryland corporation (the “Company”), and Cole Capital Corporation (the “Dealer Manager”).
