This Restricted Unit Award Agreement (“Agreement”), effective as of January 20, 2014 (the “Grant Date”), is between Valero Energy Partners GP LLC (the “Company”) and [_______] (the “Participant”), a participant in the Valero Energy Partners LP 2013 Incentive Compensation Plan (the “Plan”).
