Morgan Asset Management, Inc., 2029 Century Park East, Suite 4150, Los Angeles, California 90067 (“Seller”) and Hines Interests Limited Partnership, a Delaware limited partnership, having an address at 2800 Post Oak Blvd., Suite 4100, Houston, TX 77056 (“Purchaser”).
