This Agreement of Plan of Reorganization (this “Agreement”), dated as of March 21, 2014, by and between Development Capital Group, Inc., a Florida corporation (“Buyer”), Clearance.co, a California corporation (“Clearance”), the undersigned shareholders of Clearance (“Sellers”) and the directors of Buyer as set out on the signature page hereto (the “Directors”).
