This Third Amended and Restated Employment Agreement (“Agreement”) is made and entered into as of February 27, 2019 (the “Amendment Effective Date”) by and between Enviva Management Company, LLC, a Delaware limited liability company (the “Company”), and Edward Royal Smith (“Executive”) and supersedes and replaces in its entirety the Second Amended and Restated Employment Agreement dated August 19, 2016 by and between the Company and Executive (the “Prior Agreement”).
