THIS AGREEMENT, made by and between EA Series Trust, a Delaware statutory trust (the “Trust”), on behalf of the fund or funds listed on Schedule A attached hereto (individually, a “Fund,” and collectively, the “Funds”) , and Empowered Funds, LLC dba EA Advisers, a Pennsylvania limited liability company (the “Adviser”) effective as of December 1, 2023, (the “Effective Date”).

This INVESTMENT SUB-ADVISORY AGREEMENT (the “Agreement”) is made as of this 12th day of December, 2023 by and between Empowered Funds, LLC, a Pennsylvania limited liability company with its principal place of business at 19 E. Eagle Road, Havertown, PA 19083 doing business as ETF Architect (the “Adviser”), EA Series Trust (the “Trust”), and Keating Investment Counselors, Inc., a Delaware limited liability company with its principal place of business located at 101 SE 6th Ave, Suite A, Delray Beach, FL 33483 (the “Sub-Adviser”).

This LOAN AGREEMENT (as amended, restated, supplemented or otherwise modified from time to time, this “Agreement”) is made and entered into effective as of the 13th day of December, 2023 by and between EA SERIES TRUST, a Delaware statutory trust (the “Trust”), not individually but solely on behalf of its Funds as set forth on Exhibit A, separately and not jointly (each such Fund a “Borrower” or “Borrowing Fund” and collectively the “Borrowers” or “Borrowing Funds”), with its address at 19 East Eagle Road, Havertown, PA 19083 and U.S. BANK NATIONAL ASSOCIATION, a national banking association with its address at 425 Walnut Street, Cincinnati, Ohio 45202 (the “Bank”).

THIS FEE WAIVER AGREEMENT (the “Waiver Agreement”) is made as of this 12th day of December, 2023 by and between EA Series Trust, a Delaware statutory trust (the “Trust”), on behalf of its series, the Keating Active ETF (the “Fund”) and Empowered Funds, LLC, a Pennsylvania limited liability company (the “Adviser”). The Trust and the Adviser are referred to herein as the “Parties.”
