This agreement (together with exhibits and schedules, the “Agreement”) is entered into by and between Madre Tierra Mining Ltd. (“Client”) a British Columbia, Canada Corporation, and Dalmore Group, LLC., a New York Limited Liability Company (“Dalmore”).
