THIS EMPLOYMENT AGREEMENT (this “Agreement”) is made and entered into this 10th day of May, 2019 by and between Griffin Capital Real Estate Company, LLC, a Delaware limited liability company (“GRECO”), Griffin Capital Essential Asset REIT II, Inc. (“GCEAR”), and Griffin Capital Essential Asset Operating Partnership, L.P. (“GCEAR OP”) (together with GRECO and GCEAR, the “Company”) and Nina Momtazee Sitzer, an individual (the “Executive”).

This Amendment No. 1 to Dealer Manager Agreement and Participating Dealer Agreement (this “Amendment”) is made and entered into as of this 24th day of June, 2019 by and between Griffin Capital Essential Asset REIT, Inc. (formerly Griffin Capital Essential Asset REIT II, Inc.), a Maryland corporation (the “Company”) and Griffin Capital Securities, LLC, a Delaware limited liability company (the “Dealer Manager”).
