This SEPARATION AND DISTRIBUTION AGREEMENT (this “Agreement”), dated as of , 2014, is entered into by and between Kimball International, Inc. (“Kimball International”), a company organized under the laws of Indiana, and Kimball Electronics, Inc. (“Kimball Electronics”), a company organized under the laws of Indiana. As used herein, the term “Party” or “Parties” means Kimball International or Kimball Electronics, individually or collectively, as the case may be.
