This AMENDMENT NUMBER ONE TO ASSET PURCHASE AGREEMENT (this “Amendment”), dated as of July 12, 2018 (the “Effective Date”), is made by and among Kimball Electronics Indiana, Inc., an Indiana corporation (“Buyer”), on the one hand, and GES Holdings, Inc., a California corporation (“GES Holdings”); Global Equipment Services and Manufacturing, Inc., a California corporation (“GES”); GES Infotek Pvt.
