THIS ASSET PURCHASE AGREEMENT (this “Agreement”) is dated July 11, 2019 (the “Execution Date”), by and between (i) Pantheon Medical - Foot & Ankle, LLC, a Delaware limited liability company (the “Seller”), and (ii) Generex Biotechnology Corporation, a Delaware corporation (“Parent”) and NuGenerex Distribution Solutions, LLC, a Delaware limited liability company (collectively, the “Buyer”). The Seller and the Buyer are referred to collectively herein as the “Parties” and each a “Party.”
