THIS DEBT CONVERSION AGREEMENT (the “Agreement”) is entered into as of March 25, 2015, by and between LifeApps Digital Media, Inc., a Delaware corporation (the “Company”) and Robert Gayman, a current officer and director of the Company (“Lender”).
