This STOCK PURCHASE AGREEMENT is dated as of August 30, 2017 (the "Agreement Date"), by and between AerLine Holdings Inc., a Delaware corporation having an office at 121 Alhambra Plaza, Suite 1700, Coral Gables, Florida 33134 ("Seller"), and Baltia Air Lines, Inc.
