THIS AGREEMENT is entered into as of April 17, 2019, by and among New York Bodega Cats, Inc. having a principal address at 450 Main Street Unit 1715, Park City, Utah 84060 (the “Company”), North Capital Private Securities Corporation (“NCPS”) regarding the solicitation by NCPS of qualified investors for debt, equity, or hybrid securities issued by the Company (the “Offering”) on the terms and subject to the conditions contained herein.

In exchange for 416,600 Class A Units (the “Class A Units”) of The Crown League, LLC, a Delaware limited liability company (the “Holder”), the New York Bodega Cats, Inc., a Delaware corporation, (“Debtor”), promises to pay to Holder the principal sum of $125, 000.00, plus all interest that accrues hereon (the “Note”).
