THIS CANCELLATION AND EXCHANGE AGREEMENT (this “Agreement”), is entered into effective as of May 15, 2019, among Gadsden Growth Properties, Inc., a Maryland corporation (“Gadsden”), FC Global Realty Incorporated, a Nevada corporation (“FC Global”), and the stockholders of Gadsden identified on Schedule A to this Agreement (each a “Stockholder” and, collectively the “Stockholders”).
