INDENTURE, dated as of June 15, 2020, as amended or supplemented from time to time (this “Indenture”), among AXALTA COATING SYSTEMS, LLC, a limited liability company organized under the laws of Delaware (the “U.S. Co-Issuer”), AXALTA COATING SYSTEMS DUTCH HOLDING B B.V., a private company with limited liability incorporated and organized under the laws of the Netherlands (“Dutch Co-Issuer” and, together with U.S. Co-Issuer, the “Issuers”), the Guarantors (as defined herein) listed on the signature pages hereto and WILMINGTON TRUST, NATIONAL ASSOCIATION, as trustee (in such capacity, the “Trustee”).
