THIS AGREEMENT, dated as of January 25, 2023, between Federated Hermes Insurance Series, a statutory business trust organized under the laws of the State of Massachusetts, on behalf of its series Federated Hermes Managed Volatility Fund II (the “Acquiring Fund”), and Federated Hermes ETF Trust, a statutory trust organized under the laws of the State of Delaware, on behalf of its series identified on Schedule A, severally and not jointly (each, an “Acquired Fund” and together with the Acquiring Fund, the “Funds”).

This Custody Agreement is made and entered into as of March 1, 2022 (the “Effective Date”) by and between THE BANK OF NEW YORK MELLON, a New York state chartered bank (“BNY Mellon”), and each management investment company identified on Appendix I and each management investment company which becomes a party to this Agreement in accordance with the terms hereof, including, if applicable, each series of the management investment companies identified on Appendix I and each series which becomes a party to this Agreement in accordance with the terms hereof (each such management investment company, or series thereof, severally, and not jointly, the “Customer”). BNY Mellon and Customer are collectively referred to as the “Parties” and individually as a “Party”.

This AMENDED AND RESTATED AGREEMENT AND DECLARATION OF TRUST is made as of December 14, 2021, by the Trustees, amending and restating the Trust Instrument dated February 11, 2021, to govern a statutory trust for the investment and reinvestment of funds contributed to the Trust by investors (“Declaration of Trust”). The Trustees declare that all money and property contributed to the Trust shall be held and managed in trust pursuant to this Declaration of Trust. The name of the Trust created by this Declaration of Trust is “Federated Hermes ETF Trust.” The Trustees may, without Shareholder authorization or approval, change the name of the Trust and adopt such other name as they deem proper in their sole discretion. Any name change of the Trust shall become effective upon the filing of a certificate of amendment reflecting such change in the office of the Delaware Secretary of State or at a future date or time specified in such certificate of amendment. The Transfer Agency and Service Agreement dated and effective as of October 15, 2021 (the “Agreement”), by and between State Street Bank and Trust Company (the “Bank”), a Massachusetts trust company, and Federated Hermes ETF Trust on behalf of each series listed on Schedule A thereto (each, a “Fund” and collectively, the “Funds”), which as of the date hereof includes each Fund listed on Schedule A hereto and which may be amended from time to time, is hereby supplemented as of October 15, 2021 (the “Effective Date”) in the manner set forth below (the “Supplement”). References herein to a Fund shall be construed to mean the Trust on behalf of such Fund.

THIS AGREEMENT is made as of October 15, 2021, by and between STATE STREET BANK AND TRUST COMPANY, Massachusetts trust company having its principal office and place of business at One Lincoln Street, Boston, Massachusetts 02111 (“State Street” or the “Transfer Agent”), and FEDERATED HERMES ETF TRUST, a statutory trust having its principal office and place of business at 4000 Ericsson Drive, Warrendale, PA 15086 (the “Trust”).
