(the “Company”) hereby grants to the individual referenced in the electronic grant statement (the “Executive”), pursuant to Section 2.1 of the Company’s Long-Term Incentive Plan, as amended and restated from time to time (the “Plan”), an Award consisting of Cash Settled Appreciation Rights (“CSARs”). The Award Date, Expiration Date, Base Price, and number of CSARs under this Award are provided in the Executive’s electronic grant statement and incorporated into this Agreement. Capitalized terms not defined herein have the respective meanings specified in the Plan.

The Award Date, Performance Period, Performance Metrics, and value payable at Target and other levels of performance under this Award are provided in the Executive’s electronic grant statement and incorporated into this Agreement.
