THIS PERFORMANCE SHARE AWARD AGREEMENT (“Agreement”) dated as of ____________, 20__ between Owens & Minor, Inc., a Virginia corporation (the “Company”), and _______________ (“Participant”) is made pursuant to and subject to the provisions of the Company's 2005 Stock Incentive Plan (the “Plan”).
