Black Stone Minerals GP, L.L.C., a Delaware limited liability company (the “General Partner”) is pleased to inform you that you are eligible to earn a short-term incentive award (the “STI Award”) on the terms and conditions set forth herein and in the Black Stone Minerals, L.P. Long-Term Incentive Plan, as amended from time to time (the “Plan”), which is incorporated herein by reference. THIS FIRST AMENDMENT TO FOURTH AMENDED AND RESTATED CREDIT AGREEMENT (this “First Amendment”) dated as of February 7, 2018, is among: BLACK STONE MINERALS COMPANY, L.P., a Delaware limited partnership (the “Borrower”); BLACK STONE MINERALS, L.P., a Delaware limited partnership (the “Parent MLP”); each of the lenders party to the Credit Agreement referred to below (collectively, the “Lenders”); and WELLS FARGO BANK, NATIONAL ASSOCIATION, as administrative agent for the Lenders (in such capacity, together with its successors in such capacity, the “Administrative Agent”).
