This Third Amended and Restated Partnership Agreement (as amended, restated, amended and restated, supplemented or otherwise modified from time to time, this “Agreement”) is dated effective as of August 1, 2019 (the “Effective Date”), between POLARIS ACCEPTANCE INC., a Minnesota corporation (“PAI”), and CDF JOINT VENTURES, LLC, a Delaware limited liability company (“CDFJV”). Certain capitalized terms used herein are defined as set forth in Article XIII hereof.
