THIS SECOND AMENDED AND RESTATED LIMITED LIABILITY COMPANY AGREEMENT is made and entered into as of July 18, 2019, by and between SH DR CALIFORNIA IV HOLDCO, LLC, a Delaware limited liability company (the “TRS”), DOWLING COURT PROPERTIES I LLC, a California limited liability company (“Dowling Court I”), DOWLING COURT PROPERTIES I LLC, a California limited liability company (“Dowling Court II,” and together with Dowling Court I, collectively, the “Contributors,” and each sometimes a “Contributor”), for the purpose of forming SH DR CALIFORNIA IV, LLC, a Delaware limited liability company (the “Company”).
