This Amended and Restated Change in Control and Severance Agreement (the “Agreement”) is made and entered into by and between Leone Patterson (“Executive”) and Adverum Biotechnologies, Inc. (the “Company”), effective as of June 23, 2020 (the “Effective Time”), and shall supersede and replace the terms set forth in the Amended and Restated Change in Control and Severance Agreement executed by the parties on June 11, 2020 (the “Prior Severance Agreement”).

Effective at the Effective Time (as defined below), this letter agreement (the “Agreement”) sets forth the amended and restated terms of your employment with Adverum Biotechnologies, Inc. (the “Company”) and supersedes and replaces the terms set forth in your earlier amended and restated offer letter from the Company dated October 24, 2018 (the “2018 Offer Letter”).

This letter agreement (the “Agreement”) memorializes the employment terms for your anticipated hire by Adverum Biotechnologies, Inc. (the “Company”) in the position of Chief Executive Officer. These terms will become effective on June 15, 2020 or at a later date determined by mutual agreement (as applicable, the “Hire Date”).
