This SECURITIES PURCHASE AGREEMENT (the “Agreement”), dated as of May 20, 2021, is by and among Pareteum Corporation, a Delaware corporation with offices located at 1185 Avenue of the Americas, 2nd Floor, New York, NY 10036 (the “Company”), each of the investors listed on the Schedule of Buyers attached hereto (individually, an “Initial Buyer” and collectively, the “Initial Buyers”), each investor that hereafter joins this Agreement by a written joinder agreement with the Company (individually, an “Additional Buyer” and collectively, the “Additional Buyers”; and together with the Initial Buyers, each individually, a “Buyer” and collectively, the “Buyers”), and Andre Koudstaal, as administrative agent for the Buyers (in such capacity, the “Administrative Agent”).

This FORBEARANCE AGREEMENT, dated as of May 20, 2021 (this “Agreement”), is entered into between Pareteum Corporation, a Delaware corporation (the “Company”), and High Trail Investments SA LLC (“HT”).
