This Management Fee Waiver Agreement (the “Agreement”) is made on this 3rd day of November, 2021, by and between NC SLF Inc. (the “Company”) Churchill Asset Management, LLC (the “Adviser”). Capitalized terms used but not defined herein shall have the meaning ascribed to them in the Investment Management Agreement (as defined below).
