Colony Bankcorp, Inc., a Georgia corporation (the “Company”), proposes to issue and sell to the several underwriters named in Schedule A hereto (the “Underwriters”) pursuant to the terms set forth herein (this “Agreement”) an aggregate of 3,346,509 shares (the “Firm Shares”) of the Company’s common stock, par value $1.00 per share (the “Common Stock”). The Company also granted to the Underwriters an option to purchase up to an additional 501,976 shares of Common Stock (the “Option Shares”), which represents 15% of the Firm Shares. The Firm Shares and the Option Shares are hereinafter referred to collectively as the “Shares.” Hovde Group, LLC (“Hovde”) has agreed to act as representative of the several Underwriters (in such capacity, the “Representative”) in connection with the offering and sale of the Shares.
