This Separation and Release Agreement (the “Agreement”) is entered into on April 1, 2022, by and between Daniel Valerian (“Employee”) and CarLotz Inc., a Delaware corporation (the “Company”). Capitalized terms used but not defined herein shall have the meanings set forth in that certain Employment Agreement, entered into as of December 11, 2020, by and between Employee and the Company (the “Employment Agreement”).
