Cybin Inc., a company continued under the Business Corporations Act (Ontario) ("Cybin" or the "Company"), confirms its agreement (this "Agreement") with Cantor Fitzgerald Canada Corporation and Cantor Fitzgerald & Co. (each individually an "Agent" and, collectively, the "Agents") to issue and sell common shares of the Company ("Shares") upon and subject to the terms and conditions contained herein. Capitalized terms used herein have the meanings given to them in Section 24 hereof.
