THIS AGREEMENT is made and entered into this 13th day of April, 2010, but is effective for all purposes as of 11th day of February, 2010, by and between Fortegra Financial Corporation (hereinafter referred to as the "Indemnitor") and Richard S. Kahlbaugh (hereinafter referred to as the "Indemnitee").
