This Share Purchase Agreement (this "Agreement"), dated as of December 22, 2023, is entered into between Ideanomics, Inc., a corporation incorporated under the laws of Nevada ("Seller") and J.P.L Holding Company, a corporation incorporated under the laws of Alberta ("Purchaser").
