This AMENDMENT NO. 3 TO FOURTH AMENDED AND RESTATED SYNDICATED FACILITY AGREEMENT, dated as of May 28, 2024 (this “Amendment”), is made by and among SEALED AIR CORPORATION, a Delaware corporation (the “Company”), for and on behalf of itself and, in its capacity as the Borrower Representative for, and on behalf of, each other Borrower, and BANK OF AMERICA, N.A., as agent for and on behalf of the Lenders and other secured parties thereunder (in such capacity, the “Agent”). Terms used but not defined herein have the meaning assigned thereto in the Amended Facility Agreement (as defined below).
