This Management and Incentive Fee Waiver Agreement (the “Agreement”) is made on this 19th day of August, 2024, by and between Nuveen Churchill Private Credit Fund (the “Company”) and Churchill Asset Management LLC, the Company’s investment adviser (the “Adviser”). Capitalized terms used but not defined herein shall have the meaning ascribed to them in the Advisory Agreement (as defined below).
