This Separation and Consulting Agreement (this “Separation Agreement”) between Horizon Global Corporation (the “Company”) and David G. Rice (“you” and similar words) sets forth certain terms of your separation from the Company and its affiliates, including certain waivers and releases by you required under the Company’s Executive Severance/Change of Control Policy (the “Severance Policy”) or otherwise in order to receive certain separation payments and benefits, as set forth in detail below.
