THIS SHARE EXCHANGE AGREEMENT (this “Agreement”), dated as of the 19th day of September 2015 (this “Agreement”) is entered into by and among, Medico International Inc., a Nevada corporation (“MEDICO”); and Multi Care PTE. LTD., a Singaporean corporation (“MC”) and Eminent Healthcare PTE. LTD., a Singaporean corporation (“EH”) (each of MC and EH are referred to herein as an “OWNER” and collectively, the “OWNERS”). MEDICO and OWNERS are referred to singularly as a “Party” and collectively as the “Parties.”
