This Share Exchange Agreement, dated as of October 7, 2020, (this “Agreement”) is by and between Bionovate Technologies Corp., registered with the U.S Security and Exchange Commission as “BIIO” and incorporated in the State of Nevada (herein referred to as “BIONOVATE” or “BIIO”), Evergreen Solutions Ltd (“EVERGREEN”), a private company, and Human Data AG (“HUMAN DATA”), a private Switzerland company.
