This Membership Interest Purchase Agreement (this “Agreement”), dated as of November 30, 2021 (the “Effective Date”), is made by and among: (a) DEP Nevada, Inc., a Nevada corporation (“Buyer”), and (b) Canopy Monterey Bay, LLC, a California limited liability company (the “Company”); and (c) Cary Stiebel, Jana Stiebel, Jayme Rivard, Adrian Dermicek, and Laurie Johnson (collectively, the “Seller”).
