THIS AGREEMENT OF LIMITED PARTNERSHIP OF STEADFAST APARTMENT REIT III OPERATING PARTNERSHIP, L.P., a Delaware limited partnership (the “Partnership”), dated as of ___________, 201__ (the “Effective Date”), is entered into by and among Steadfast Apartment REIT III, Inc., a Maryland corporation holding the sole general interest in the Partnership (the “General Partner”), and Steadfast Apartment Advisor III, LLC, a Delaware limited liability company, holding a special limited partner interest in the Partnership (the “Special Limited Partner”), together with any other Persons who become Partners in the Partnership as provided herein.
