This Second Amended and Restated Limited Liability Company Agreement of Beartooth DevCo LLC (the “Company”), dated as of February 22, 2019 and effective as of January 1, 2019 (the “Effective Date”), but with respect to the treatment of Special Project Contributions and any related special allocations effective as of November 1, 2018, is entered into by and between OMP Operating LLC, a Delaware limited liability company (“OMP Operating” or the “Managing Member”), and Oasis Midstream Services LLC, a Delaware limited liability company (“OMS”). OMP Operating and OMS are each referred to herein as, a “Member” and collectively, as “Members” of the Company.
