THIRD AMENDMENT TO THE CREDIT AND GUARANTY AGREEMENT, dated as of June 30, 2023 (this “Third Amendment”), among PRIORITY HOLDINGS, LLC, a Delaware limited liability company (the “Initial Borrower” or the “Borrower Representative”), the other Credit Parties party hereto, the 2023-1 Incremental Revolving Credit Lender (as defined below), the 2023-2 Incremental Revolving Credit Lender (as defined below) and TRUIST BANK, as Administrative Agent and Collateral Agent under the Credit Agreement (as defined below) (in such capacity, the “Agent”). All capitalized terms used herein (including in this preamble) and not otherwise defined herein shall have the respective meanings provided such terms in the Credit Agreement.
