This Agreement and Plan of Reorganization (the “Agreement”) is made and entered into effective this 30th day of January, 2017 (the “Effective Date”), by and among Line Drive Energy, LLC, a Texas limited liability company (the “Company”), Greg McCabe, Sr., an individual (the “Seller”), Torchlight Energy Resources, Inc., a Nevada corporation (the “Purchaser”), and Torchlight Acquisition Corporation, a Texas corporation (the “Merger Sub”). The Company, the Seller, the Purchaser, and the Merger Sub are sometimes hereinafter collectively referred to as the “Parties.”

This PURCHASE AND SALE AGREEMENT (this “Agreement”), dated effective January 30, 2017, (the “Effective Date”), is entered into by Wolfbone Investments, LLC (“Seller”), and Torchlight Energy, Inc., a Nevada corporation, 5700 W. Plano Pkwy., Ste. 3600, Plano, Texas 75093, (“Purchaser” or “Buyer”). Seller and Purchaser are sometimes collectively referred to as the “Parties” and each is referred to individually as a “Party.”
