THIS LOAN, SECURITY AND GUARANTEE AGREEMENT (this “Agreement”) is dated as of March 26, 2020, among AUTOWEB, INC., a Delaware corporation (“AutoWeb”), and any other Person from time to time joined hereto as a Borrower (together with AutoWeb, each, a “Borrower” and, collectively, “Borrowers”), the other Persons from time to time party to this Agreement as Guarantors, the financial institutions party to this Agreement from time to time as Lenders, and CIT NORTHBRIDGE CREDIT LLC, a Delaware limited liability company (“CNC”), as agent for the Lenders (in such capacity, “Agent”).
